Terms of Use

These terms govern access to and use of AIQCAT services, operated by KandaQuantum Inc. By accessing AIQCAT, you agree to these terms.

1. Acceptance

By accessing the AIQCAT services (the "Services") you ("Customer") agree to be bound by these Terms of Use. If you enter into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. The Services are operated by KandaQuantum Inc..

2. The Services

AIQCAT provides an assessment service that grades real work artifacts across six evaluation dimensions, including exam authoring (the Question Factory), consensus grading by AI evaluator engines with examiner review, the AIQCAT Credential Registry, and associated reporting and analytics.

3. Eligibility

Examinees must be 18 years of age or the age of majority in their jurisdiction. Enterprise customers must operate in a jurisdiction in which AIQCAT is permitted to deliver the Services.

4. Examinee conduct

Examinees agree to complete each session personally, without unauthorised assistance, and in compliance with the AIQCAT Examination Conduct Code. Violations may result in invalid results and credential revocation.

5. Acceptable use

Customer agrees not to (a) reverse-engineer the Services; (b) circumvent the AIQCAT Credential Registry; (c) extract examinee data outside the documented interfaces; or (d) misuse evaluator-engine outputs in violation of the AIQCAT methodology.

6. Fees & billing

Fees are as published or as set out in the applicable Order Form. Unless otherwise agreed, Customer is billed monthly. Annual billing carries the published discount; overage on examinee volume is billed at the published per-examinee rate. Disputed invoices must be raised within 30 days of receipt.

7. Intellectual property

KandaQuantum Inc. retains all rights in the Services, including the rubric, evaluator engines, and the AIQCAT marks. Customer retains rights in examinee submissions and grants AIQCAT a limited licence to process submissions solely to deliver the Services.

8. Confidentiality

Each party will protect the other's confidential information with at least a reasonable standard of care and use it only to perform under these Terms.

9. Disclaimers

The Services are provided "as is". To the maximum extent permitted by law, AIQCAT disclaims implied warranties, including fitness for a particular purpose and non-infringement, and does not guarantee specific examinee outcomes.

10. Limitation of liability

To the extent permitted by law, AIQCAT's aggregate liability under these Terms shall not exceed the fees paid by Customer in the twelve months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.

11. Term & termination

These Terms apply for the term of the applicable Order Form. Either party may terminate for material breach not cured within 30 days. AIQCAT may suspend the Services for violations of the Examination Conduct Code.

12. Governing law

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance, except where prohibited by local law.

13. Changes

AIQCAT may update these Terms. Material changes will be communicated with at least 30 days' notice. The current version is always available at this URL.
